CODE OF CONDUCT

A. Honesty

Truth and honesty are our priority values in all our business processes and relationships. We act with truth and honesty in our relationships with employees and all our stakeholders.

B. Confidentiality

As Dizayn Klips; we take care to protect the privacy and confidential information of our customers, our employees and other related persons and organizations with whom we work. It is absolutely unacceptable to obtain commercial benefit by leaking any confidential information belonging to Dizayn Klips from inside. We do not take out confidential information and documents and projects, regulations, etc. that we have due to our duties when leaving our company.

C. Conflict of Interest

As Dizayn Klips employees, we aim to stay away from conflict of interest. We do not obtain personal benefit through our current position by means of family members, friends or other third parties with whom we have a relationship, either mutually or unilaterally. For example, an employee with purchasing authority should avoid doing business with a supplier where one of their family members works. Exceptional cases are subject to the knowledge and approval of the Senior Management Chairman. In the same direction, Company employees should also be careful about conflicts of interest that may arise due to close family members working for Companies' competitors.

D. Abuse of Authority

It is unacceptable for employees to use their authorities for their own and/or relatives' benefit and outside the expected care, thereby harming the company.
Employees cannot obtain personal gain directly or indirectly from all transactions and contracts that are party to the Company's purchasing and sales activities.
Employees cannot engage in acts and behaviors contrary to morality, law and Company discipline.

E. Use of Resources

Company interests are taken into account in resource uses to be made on behalf of the Company. Company assets, facilities and personnel cannot be used outside the Company without Company interest, under any name and for whom and for whose benefit. The principle of "saving in everything" is applied by all personnel.
Proper use of resources for Company benefit also requires proper use of time. During work hours, Company employees use time well and do not allocate time to private business during work hours. Managers cannot assign employees for personal business.

F. Relationships with Other Persons and/or Organizations with which the Company has Commercial Relations

Private business relationships cannot be entered into with Company customers, subcontractors or suppliers and other persons and/or organizations with which the Company has commercial relations, borrowed money and/or goods/services for personal purposes, and borrowed money and/or goods/services cannot be given to other persons and/or organizations with which the Company has commercial relations.
Company personnel cannot request gifts from other persons and/or organizations with which the Company has commercial relations, make implications; cannot accept any gift, money, check, property, free vacation, special discounts, etc. that will obligate the Company. Personal assistance, donations cannot be accepted from any person or organization that has a business relationship with the Company.

G. Protection of Confidential Information Policy

Information is one of the most important assets that Dizayn Klips will use to realize its vision. In this direction, effective use of information, correct sharing and ensuring confidentiality, integrity and accessibility of information during this process is the joint responsibility of our company and employees. The management systems established and processes applied for information management and confidentiality in our company being in harmony with each other is important for the Group to obtain maximum benefit. The following implementation principles define confidential information for our Company and regulate the principles that employees must comply with regarding confidential information.

Principles to be followed regarding confidential information are listed below:

    This information cannot be disclosed to third parties unless disclosure is mandatory due to Official Authorities and Legislation.

    This information cannot be changed, copied and destroyed. Necessary precautions are taken for careful keeping, storage and not disclosure of information. Changes on information are recorded with their history.

    Confidential files cannot be taken out of the institution. Approval of the information owner or senior management must be obtained for confidential information that needs to be taken out of the institution.

    Passwords, user codes and similar identifying information used to access Company information are kept confidential, not disclosed to anyone except authorized users.

    Company confidential information is not discussed in public places such as dining halls, cafeteria, elevator, service cars and similar.

    Personnel information such as wage, fringe benefits and similar personnel information reflecting Company policy and personal to the person is confidential and cannot be disclosed to anyone except authorized persons. Personnel information is sent to the person personally. It is strictly forbidden for personnel to disclose this information to others or to pressure other employees to disclose information.

H. Creating and Maintaining a Fair Working Environment Policy

Dizayn Klips considers creating and maintaining a fair working environment for employees as one of its most important priorities. It is aimed to increase employee success, development and loyalty by creating a fair, employee-respectful, healthy and safe working environment, compliant with all relevant laws and regulations.

The following implementation principles determine the basic principles regarding creating and maintaining a fair working environment in our Company.

    Dizayn Klips human resources policies and practices ensure that all practices such as recruitment, promotion-transfer-rotation, remuneration, reward, social rights, etc. are fair.

    Discrimination within the organization among employees based on language, race, color, gender, political thought, belief, religion, sect, age, physical disability and similar reasons is unacceptable.

    Respect is shown to employees' private life and personal spaces.

    In addition to all kinds of inviolability of employees, their physical, sexual and emotional inviolability are also observed.

    Workplace physical working environment and conditions are ensured to be healthy and safe for all employees.

EMPLOYEE RESPONSIBILITIES

Dizayn Klips code of conduct, personnel and discipline directive and policies and procedures related to internal regulations have determined in detail the ethical rules on how we should not behave and how we should not do our work. Compliance with these rules is the primary responsibility of all employees. In this direction, all our employees are;

    Act in accordance with laws and regulations under all conditions,

    Read Dizayn Klips Code of Conduct, know, understand, internalize and act in accordance with the rules, principles and values contained therein,

    Learn general and job-specific policies and procedures applicable to the Company,

    Consult their manager and human resources about potential violations related to themselves or others,

    Report their own or others' possible violations immediately; convey notifications about these issues to their manager, human resources in writing or verbally, named or anonymously,

MANAGER RESPONSIBILITIES

Dizayn Klips managers have additional responsibilities beyond the responsibilities defined for employees within the framework of Dizayn Klips code of conduct. Accordingly, managers;

    Setting an example with their behavior for the implementation of ethical rules, training their employees on ethical rules,

    Supporting their employees about conveying questions, complaints and notifications related to ethical rules,

    Guide what to do when consulted, take into account all notifications conveyed

    They are responsible for ensuring that business processes under their responsibility are structured to minimize risks related to ethical issues and to implement necessary methods and approaches to ensure compliance with ethical rules.
